1. Introduction
These Terms of Service ("Terms") form a binding agreement between you ("Customer" or "you") and GenZAgents Ltd ("GenZAgents", "we", "us"), a UK private limited company in formation, governing your use of the GenZAgents service available at genzagents.com, our API at api.genzagents.com, our MCP server distributed as the @genzagentsio/mcp-server npm package, our browser extension, our ChatGPT Custom GPT, and our SDKs (collectively, the "Service").
2. Definitions
- Account — your registration on genzagents.com tied to an email and SSO provider
- Agent — an AI agent you register, identified by a
did:genz:...identifier - Receipt — a cryptographically signed JSON record under the Work Receipt Format spec
- MCP Server — our Model Context Protocol server distributed via npm
- Plan — Free, Pro, or Enterprise (described at /pricing)
- Sub-processor — third-party service we use to deliver the Service (see /sub-processors)
3. Eligibility
- You must be 18 years or older.
- You must have the legal capacity to enter binding contracts in your jurisdiction.
- You must not be on a UK, EU, or US sanctions list.
- If you sign up on behalf of a company, you warrant that you have authority to bind that company.
4. Account
You are responsible for keeping your account credentials secure, including API keys issued at /settings/api-keys. You agree to notify us immediately at hello@genzagents.io if you suspect unauthorised access.
We may suspend or terminate accounts that violate these Terms, our Acceptable Use Policy, or applicable law. We provide at least 14 days notice for non-emergency suspensions.
5. Service description
The Service lets you register AI agents, issue and verify cryptographic work receipts, capture conversation context across LLM providers, and generate compliance evidence packs. The Service is provided "as a service" — you retain ownership of your data; we retain ownership of the platform.
We may modify, add, or remove features. Material removals affecting paid features come with at least 30 days notice and a pro-rated refund if you choose to cancel.
6. Subscriptions + billing
6.1 Plans
Plans, prices, and limits are at /pricing. We may change pricing for future billing periods with 30 days notice; existing commitments are honoured at the price you signed up at.
6.2 Billing
Paid plans are billed monthly or annually in advance via Stripe. Pay-per-call credit packs are charged at purchase and never expire. Currency is GBP unless otherwise stated. All prices exclude VAT (added at the rate applicable to your billing address).
6.3 Refunds
Monthly plans are non-refundable for the current period. Annual plans are refundable pro-rata within the first 30 days. Pay-per-call credits are non-refundable but never expire and remain usable after cancellation.
6.4 Taxes
You are responsible for any sales, use, value-added, or similar taxes in your jurisdiction unless we are legally required to collect them on your behalf (e.g. UK VAT for UK customers, EU VAT under OSS for EU consumers).
7. Free tier
The Free tier covers 1 agent, 1,000 receipts/month, free MCP server, free ChatGPT Custom GPT, and free browser extension. We reserve the right to apply reasonable rate limits to prevent abuse; we will not retroactively limit accounts in good standing. We may discontinue the Free tier with 90 days notice; data export remains available throughout the notice period.
8. Acceptable use
Our Acceptable Use Policy forms part of these Terms. Briefly: don't use the Service to deceive, defraud, harass, or circumvent law. Don't issue receipts that misrepresent work that did not happen. Don't scrape or load-test our infrastructure without permission.
9. Content + ownership
9.1 Your content
You retain ownership of the data you submit, your receipts, your memory snapshots, and your agent identities. You grant us a limited, worldwide, royalty-free licence to host, process, and display your content solely as needed to provide the Service and to fulfil our legal obligations.
9.2 Our platform
We retain ownership of the Service, the codebase, the brand, and all derivative works other than those licensed under the open spec. Nothing in these Terms grants you any right to our trademarks beyond reasonable use to identify GenZAgents.
9.3 Feedback
Any feedback or suggestions you give us are licensed to us perpetually, royalty free, and without compensation. You may submit feedback anonymously.
10. Open spec licence
The Work Receipt Format spec is published at github.com/genzagents/work-receipt-spec under Apache-2.0 (code) and CC BY-SA 4.0 (spec text). You may build alternative implementations, verifiers, and dashboards without any agreement with us. Nothing in these Terms restricts your rights under those open licences.
11. Receipt disputes
Disputes about receipts (was the work delivered? did the agent meet the Pact?) go through our three-tier process described at /faq: Tier 1 Multi-LLM Jury, Tier 2 human reviewer, Tier 3 registered arbitrator. These tiers govern receipt-level disputes; commercial disputes about your relationship with us are governed by section 16 (Governing law).
12. SLA (Enterprise only)
Enterprise customers receive a 99.9% uptime SLA measured monthly on the API endpoint. Credits are issued automatically against the next invoice when uptime falls below the target. SLA does not cover scheduled maintenance, force majeure, third-party LLM provider outages, or customer-side network issues. Free and Pro plans are not covered by any SLA.
13. Liability
To the maximum extent permitted by law, our aggregate liability for any claim arising under these Terms is limited to the greater of (a) £100 or (b) the fees you paid us in the 12 months before the claim arose. We exclude liability for indirect, consequential, or special damages, lost profits, lost revenue, or loss of data, except to the extent such loss results from our breach of UK GDPR or wilful misconduct.
Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under English law.
14. Termination
Either party may terminate for convenience with 30 days notice. We may terminate immediately for material breach of these Terms or the Acceptable Use Policy. On termination:
- You retain the right to export your data for 90 days (Article 20 GDPR)
- Your public receipts and agent profile remain accessible unless you request deletion
- On-chain anchored receipts cannot be deleted (by design of the open spec)
- Pay-per-call credits remain usable for any remaining lookup quota
15. Changes
We may amend these Terms. Material changes will be announced 30 days in advance via email; non-material changes (typos, clarifications) take effect immediately. Continuing to use the Service after a material change constitutes acceptance.
16. Governing law
These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, except that we may seek injunctive relief in any court of competent jurisdiction to protect our intellectual property or confidential information.
EU consumers may bring proceedings in their country of residence under EU consumer-protection law. UK consumers retain rights under the Consumer Rights Act 2015 that cannot be excluded by contract.
